General Terms and Conditions
For the online shop www.cellfoodshop.de  – Gebrüder Hammig GmbH

Contracting parties, scope of application
The contracting parties under the following General Terms and Conditions ("GTC") are Gebrüder Hammig GmbH (hereinafter referred to as "Cellfoodshop.de") and the customer.

All deliveries and services provided by Cellfoodshop.de to customers are made exclusively on the basis of the following General Terms and Conditions in the version valid at the time of the order, unless and to the extent that these are amended by individual written agreements between the contracting parties. These Terms and Conditions apply exclusively to sales via the website www.cellfoodshop.de and to customers who are consumers within the meaning of Section 13 of the German Civil Code (BGB).

The customer accepts the validity of these GTC during the ordering process by submitting the completed order form. Cellfoodshop.de does not recognise any conflicting terms or terms of the customer that deviate from these conditions, unless Cellfoodshop.de has expressly agreed to their validity in writing beforehand.

Conclusion of contract
Our presentation of the items in the Cellfoodshop.de online shop merely constitutes a non-binding invitation to the customer to order goods from us.

By submitting the order, the customer makes a binding offer to conclude a purchase contract.

The order confirmation e-mail generated automatically by the Cellfoodshop.de online shop does not yet constitute acceptance of the customer's offer, but merely confirms that the order has been received by Cellfoodshop.de. The decision as to whether Cellfoodshop.de accepts an order is at the sole discretion of Cellfoodshop.de. If we do not fulfil an order, we will inform the customer of this without undue delay. The purchase contract is concluded upon delivery of the goods, or – in the case of payment by credit card, PayPal or Sofortüberweisung – upon receipt of the payment request that the customer receives from Cellfoodshop.de.

If Cellfoodshop.de determines while processing the order that the items ordered by the customer are not available, the customer will be informed of this by e-mail. No contract is concluded for the unavailable goods.

When ordering via the Cellfoodshop.de online shop, the customer must observe two steps. In the first step, the desired items are selected. In the second step, the billing and delivery address are entered and the desired payment method is chosen. At the end of this process, the customer can submit their order to Cellfoodshop.de.

The contract language is German.

Right of withdrawal

Right of withdrawal

As a consumer, you have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day on which you or a third party named by you, who is not the carrier, took possession of the last goods.

To exercise your right of withdrawal, you must inform us (Cellfoodshop – Gebrüder Hammig GmbH, Rennwiese 11, D-77855 Achern, Germany, tel. +49 7841 62920, info@cellfoodshop.de) of your decision to withdraw from this contract by means of an unequivocal statement (e.g. a letter sent by post or e-mail). You may use the model withdrawal form provided under the section "Model withdrawal form" for this purpose, although this is not mandatory.

You may also complete and submit the model withdrawal form or any other unequivocal statement electronically on our website https://www.cellfoodshop.de/widerrufsformular. If you make use of this option, we will send you confirmation of receipt of such a withdrawal without undue delay (e.g. by e-mail).

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.

Consequences of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and at the latest within fourteen days from the day on which we receive notification of your withdrawal from this contract. For this reimbursement we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; under no circumstances will you be charged any fees for this reimbursement. We may withhold reimbursement until we have received the goods back or until you have supplied evidence of having sent back the goods, whichever is the earlier.

You must send back or hand over the goods to us without undue delay and in any event no later than fourteen days from the day on which you notify us of your withdrawal from this contract. The deadline is met if you send back the goods before the period of fourteen days has expired. The customer bears the cost of returning the goods. You are only liable for any diminished value of the goods where that diminished value results from handling the goods other than what is necessary to establish their nature, characteristics and functioning.

Delivery, extension of delivery times
Orders and deliveries are possible from and to all countries.
The respective shipping costs are listed under the section "Shipping costs for deliveries and returns". Delivery is made by dispatch ex warehouse to the delivery address provided by the customer. Unless otherwise agreed, delivery is made by a parcel service selected by Cellfoodshop.de. Every delivery is subject to the proviso that Cellfoodshop.de itself is supplied correctly and on time; the following paragraph applies in this respect. In the event of unavailability, Cellfoodshop.de will inform the customer without undue delay that the ordered product is not available and that Cellfoodshop.de is therefore unable to provide the service. If the purchase price has already been paid, Cellfoodshop.de will refund it to the customer without undue delay. Items are supplied only in household quantities and only to end consumers. Our prices are euro prices and include statutory value added tax for deliveries to all EU countries.

The delivery time is extended appropriately in the event of circumstances of force majeure that affect delivery. Force majeure includes strikes, lockouts, transport bottlenecks for which we are not responsible, shortages of energy and raw materials, official intervention, operational disruptions for which we are not responsible, for example due to fire and water, as well as all other impediments that, viewed objectively, were not culpably caused by Cellfoodshop.de. Cellfoodshop.de will notify the customer without undue delay of the beginning and end of such impediments. If the impediment to performance in the cases mentioned continues for a period of more than 4 weeks beyond the originally applicable delivery times, the customer is entitled to withdraw from the contract. There are no further claims, in particular no claims for damages.

Prices
All prices stated include the applicable statutory value added tax, excluding packaging and shipping costs, at the time of the order and apply to deliveries to all countries.

When the Cellfoodshop.de web pages are updated, all previous prices and other information about goods become invalid. The version valid at the time of the order is decisive in each case.

Customs duties for all non-EU countries:
The prices on Cellfoodshop.de apply excluding the respective national value added tax. When ordering and having goods delivered to the respective non-EU country, additional costs may arise in the form of customs duties. These costs, which may arise in connection with the delivery, are borne by the customer and are the customer's responsibility. Cellfoodshop.de is not obliged to bear these costs. Please note that as the buyer you are considered the official importer of the ordered goods into your country and are therefore obliged to comply with all laws and regulations of your country regarding the import of the goods.
For returns from non-EU countries, the buyer must bear all costs for customs duties in advance, i.e. the customer must send the return to Cellfoodshop.de carriage paid and duty paid; otherwise the return cannot be accepted.

Shipping costs for returns
The customer bears the cost of returning the goods.

Shipping costs in the event of non-delivery or refusal of acceptance
If a delivery cannot be delivered by the parcel service provider, e.g. due to an incorrect address, or if acceptance is refused by the customer, the customer bears the shipping costs for both the outward and the return shipment.

Payment
Payment can generally be made by PayPal, credit card (Mastercard and Visa) or advance payment.

If the payment method "advance payment" is selected, the customer receives a separate e-mail with information about the bank details after completing the order. Payment is to be made by the customer immediately upon receipt of this e-mail. Delivery takes place after receipt of payment.

If the payment method "PayPal" is selected, payment is processed via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg, subject to the PayPal terms of use, which can be viewed at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full. This requires, among other things, that the customer opens a PayPal account or already has such an account.

If the payment method "credit card" is selected, the amount is first reserved when the order is completed. The credit card account is only debited when the goods are dispatched.

Retention of title
The ordered goods remain the property of Cellfoodshop.de until payment has been made in full.

Warranty; liability for material defects and defects of title
The customer's claims against Cellfoodshop.de in the event of defects are governed by the statutory provisions within the statutory periods, unless deviations arise from the following provisions. The statutory warranty period is currently two years from delivery of the goods.

Damage caused by improper measures or measures contrary to the contract on the part of the customer does not give rise to any claim against Cellfoodshop.de.

The customer is asked to report obvious defects or transport damage to Cellfoodshop.de without undue delay. It is expressly pointed out, however, that the customer is under no obligation to
